Overview

Caroline is a member of Butler Snow’s Business Services and Finance, Real Estate and Restructuring groups. Her practice includes a wide array of corporate transactional matters, including the formation of new business ventures, contract negotiations, and entity organization and structuring.  She also advises publicly traded and privately held businesses, community hospitals, and non-profit entities in acquisitions, sales, mergers and capital raises. Caroline focuses her real estate practice on commercial real estate transactions, including representing both landlords and tenants in commercial leases, borrowers and lenders in commercial loans, and purchasers, sellers and developers in acquisition, development, and disposition of real estate projects. Additionally, Caroline has represented developers in economic development projects and borrowers, developers, leverage lenders, and community development entities in connection with tax credit transactions utilizing state and federal new markets tax credits.

    • Mergers & Acquisitions
      • Represented purchaser in $60M asset acquisition of international broker, manager, charter, dealer, trader, insurer, and seller of yachts, watercraft and other marine-related products.
      • Represented seller in the $24M sale of assets, including real property and intellectual property, of company specializing in insecticide fabric treatment and permanent-press services for the U.S. Military.
      • Represented seller in connection with sale of assets of Tennessee business engaged in designing and manufacturing custom automotive shipping containers to Canadian based purchaser.
    • Commercial Real Estate
      • Represented buyer in $400M acquisition of industrial warehousing spaces in California.
      • Represented buyer in $80M acquisition of ground leases on tribal lands in Arizona.
      • Represented buyer and developer in $15M acquisition of raw, undeveloped land in Florida.
      • Represented buyer in $24M acquisition of developed industrial property in South Carolina.
    • New Markets Tax Credits
      • Represented borrower and leverage lender in connection with $14M financing of an office space, restaurant, event space, three museums, a small gin distillery supplied by locally harvested grain, tasting rooms, bottling and canning lines, and a retail store in Rosedale, Mississippi.
      • Represented borrower and leverage lender in connection with $10M financing for the acquisition, construction, renovation and adaptive reuse of charitable facility in New Orleans, Louisiana.
      • Represented lumber company on a $3M financing that utilized federal and state NMTCs in connection with purchasing equipment and providing working capital for the expansion and re-equipping of a lumber facility in LaSalle, Louisiana.  
    • Economic Development and Tax Incentives
      • Represented data center developer of over $16 billion in large industrial projects throughout Mississippi. 
      • Represented renewable energy developer in connection with 396MWac utility scale solar electric generation facility in Hinds County, Mississippi.
      • Represented publicly traded entity achieve municipal tax abatements for projects located in Texas and California, including $4M property tax abatement, $4M sales tax grant, $3M construction reimbursement, and a 60% annual abatement on total property taxes, to name a few.
