Overview

Mark is a member of Butler Snow’s Business Services group. Mark has experience representing buyers and sellers in acquisition and disposition transactions in a wide range of industries, including technology, insurance, energy, timber, and healthcare. In addition, Mark frequently represents developers in the acquisition, financing and rehabilitation of affordable housing properties, and has extensive experience assisting public charities and private foundations with formation, governance and compliance matters.

Experience

  • Representation of multiple developers in the acquisition, syndication and rehabilitation of low-income house tax credit financed properties.
  • Representation of a nonprofit hospital in various corporate governance and compliance matters and drafting and negotiating various service provider, employment, lease and clinical affiliation agreements related to hospital operations.
  • Representation of a regional telecommunications and internet provider in multiple acquisition transactions, syndicated financing facilities, and in drafting and negotiating various service provider and sales channel partner agreements.
  • Representation of numerous §501(c)(3) public charities and private foundations with respect to formation, application for tax-exempt status, and ongoing corporate governance and compliance matters. 
  • Representation of the purchaser of A.M. Best A- rated insurance companies and continued representation of such insurance companies with respect to corporate governance and regulatory compliance matters.
  • Representation of the seller of an off-shore oil rig crane repair and maintenance company.
  • Representation of the owners and operators of numerous skilled nursing facilities in the sale and transfer of operations of such facilities.
