Overview

Matthew provides representation in a wide range of regulatory and corporate matters. He has extensive experience and expertise in Federal procurement, national security, and international trade regulatory matters. He also maintains a robust general corporate practice for government contractor and multinational clients, leveraging his deep understanding of their regulatory environment.

Experience

  • Counseled government contractors regarding compliance with various Federal regulations, including the FAR, DFARS and other agency supplements, and SBA regulations on small businesses.
  • Advised DoD-cleared contractors on security and compliance issues under the National Industrial Security Program Operating Manual (NISPOM), including facility and personnel clearance issues and FOCI mitigation.
  • Served as outside general counsel to FOCI-mitigated U.S. subsidiary of publicly traded multinational.
  • Counseled defense- and commercial-sector clients regarding compliance with Department of State (ITAR) and Department of Commerce (EAR) export-control regulations and Department of Treasury (OFAC) sanctions regulations in connection with a wide range of technologies and transactions.
  • Served as outside export compliance manager / export control counsel for U.S. publicly traded inertial-navigation- product manufacturer.
  • Obtained numerous Department of Commerce (EAR) export licenses for U.S. subsidiary of European publicly traded aviation conglomerate.
  • Advised publicly traded European wireless semiconductor firm on compliance with U.S. restrictions on exports of foreign-origin products.
  • Represented U.S. government contractor in reseller agreement with European manufacturer, under which the client serves as exclusive reseller of equipment to U.S. DoD customers.
  • Represented government contractors in negotiation of numerous M&A transactions, NDAs, teaming agreements, subcontract agreements, and joint venture agreements for pursuit of government contracts, and other corporate and commercial transactions.
